Seenit Terms & Conditions

1. Our Agreement

1.1 MSSD Ltd (“Mydus”, “our” or “us”) is a company registered in England and Wales whose registered office is at Flat 9 Dawson Building, 52 Prospect Row, London, E15 1GU, and whose registered number is 13278742. Seenit is a product operated by MSSD Ltd.

1.2 By accessing or using the Seenit mobile application and any related services (together, the “Service”), you confirm that you accept these Terms of Use (“Terms”) and that you agree to be bound by them. If you do not agree to these Terms, you must not use the Service. The Service is owned, operated and controlled by Mydus.

1.3 These Terms (together with our Privacy Policy) set out the terms on which you may use the Service and set out your rights and responsibilities to us and our rights and responsibilities to you during your use of the Service.

1.4 Please read these Terms carefully before you start to use the Service. We recommend that, wherever possible, you save a copy for future reference.

2. The Service

2.1 Seenit is a social application that lets you log films and television shows you have watched and would recommend, share those logs with people you follow on Seenit, and discover who in your network has watched the same titles. The Service does not include ratings, written reviews, or watchlists.

2.2 By using the Service, you warrant that you are at least 17 years old. If you are under the age of majority in your jurisdiction, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2.3 Film and TV metadata (titles, posters, release years, overviews, genres) is provided by The Movie Database (TMDB). Seenit uses the TMDB API but is not endorsed or certified by TMDB. TMDB metadata remains the property of TMDB and its licensors.

2.4 You acknowledge and agree that the Service is provided for personal, non-commercial use.

3. Access to the Service

3.1 Access to the Service is provided through the Seenit mobile application. Your use of the application remains at all times subject to the terms and conditions and privacy policies of the relevant app store from which you downloaded it (the Apple App Store or the Google Play Store). To the extent that there is a conflict between those terms and these Terms, these Terms shall take priority as between you and Mydus.

3.2 You must not allow anyone to access the Service on your behalf using your account. You are responsible for keeping the credentials for your account (including the email address used to sign in) secure, and for all activity that takes place under your account.

4. Your account, content, and the social graph

4.1 To use the Service, you must create an account by verifying your email address. You choose a username and display name. You must not impersonate another person, organisation, or brand, and you must not select a username that is offensive, misleading, or that infringes a third party’s rights.

4.2 When you log a film or TV title on Seenit, you are making a positive recommendation of that title. Your logs are visible to:

• yourself, on your own profile;
• accounts that follow you (and whose follow request you have accepted);
• accounts you choose to follow, for the purpose of mutual-watcher discovery on titles you have both logged.

4.3 When you send a follow request to another user, the existence of that request is visible to that user. If they accept, your logs become visible to them and theirs to you. Either side may unfollow, cancel, reject, or remove the connection at any time.

4.4 You retain ownership of any content you create on Seenit (for example, your display name, avatar image, and the list of titles you log). By making content available through the Service, you grant Mydus a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and distribute that content solely for the purposes of operating and improving the Service.

4.5 You are responsible for the content you make available on the Service, including any avatar image you upload. You must not upload content that infringes a third party’s intellectual property rights, that is unlawful, defamatory, threatening, harassing, obscene, or that depicts a minor in a sexual context.

5. Your privacy

5.1 We use cookies and similar technologies and process personal data as described in our Privacy Policy, which forms part of these Terms and our agreement with you.

6. Your behaviour towards Seenit and other users

6.1 You must not access without authority, penetrate, interfere with, damage or disrupt (or attempt to do any of the foregoing) any part of the Service or its security measures, any servers, equipment, or networks connected to the Service, or any software used in the provision of the Service, including by transmitting any worms, viruses, malware, logic bombs, Trojan horses, spyware, or other harmful code (together, “Viruses”).

6.2 You may not inject content or code or otherwise alter or interfere with the way any screen of the Service is rendered or displayed on your device.

6.3 You must not access the Service via any means not authorised by Mydus, including automated devices, scripts, bots, spiders, crawlers, or scrapers.

6.4 You must not use the Service to harass, abuse, stalk, threaten, defame, or otherwise infringe or violate the rights of any other Seenit user or third party.

6.5 You must not use the Service to send unsolicited or unauthorised advertising, promotional materials, junk mail, spam, or chain letters.

6.6 Mydus does not accept unsolicited content, information, ideas, suggestions or other materials except where Mydus has set out specific criteria and conditions for submitting them. Where you do submit unsolicited content in breach of this paragraph, you agree that we may use such content for any purpose whatsoever, without any liability, payment, or recognition of any kind to you.

7. Third-party services and content

7.1 Film and TV metadata shown on Seenit is sourced from TMDB, as described in clause 2.3.

7.2 The Service may include links to third-party websites, applications, or features (“Third Party Services”). These links are provided for your information only. Mydus does not control, maintain, or endorse Third Party Services and you acknowledge and agree that your use of them is at your own risk. We assume no responsibility for the content or operation of Third Party Services and we will not be liable for any loss or damage arising from your use of them.

7.3 Your use of the Apple App Store, the Google Play Store, the operating system on your device, and any communications network used to access the Service is governed by the terms of the relevant provider.

8. Data charges and security

8.1 You agree that you are responsible for any and all data charges you incur from mobile service providers, internet service providers, or other data providers in using the Service.

8.2 We cannot guarantee that the Service will always be free from Viruses. You are responsible for configuring your device in order to access the Service and for the security of your internet connection. You should use your own virus-protection software.

9. Our right to vary these Terms

9.1 We expect to need to update or amend these Terms from time to time to comply with law or to meet our changing business requirements.

9.2 We reserve the right, at our sole discretion, to change these Terms from time to time (“Amended Terms”). Unless we make a change for legal or administrative reasons, we will provide reasonable advance notice before the Amended Terms take effect. You agree that we may notify you of the Amended Terms by posting them within the Service or on this page. Your use of the Service after the effective date of the Amended Terms constitutes your agreement to them.

10. Warranties

10.1 You expressly understand and agree that:

• your use of the Service and all information and other content (including that of third parties) included in or accessible from the Service is at your sole risk; and
• the Service is provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind as to the Service and all information and other content (including that of third parties) included in or accessible from the Service, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 We make no warranty that:

• the Service will meet your requirements;
• the Service will be uninterrupted, timely, secure, or error-free;
• the results that may be obtained from the use of the Service will be accurate or reliable; or
• any errors in the Service will be corrected.

10.3 Any content downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and you are solely responsible for any damage to your device or loss of data that results.

11. Our liability

11.1 If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time you accepted these Terms.

11.2 We only provide the Service for personal, non-commercial use. You agree not to use the Service for any commercial, business, or resale purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

11.3 We do not in any way exclude or limit our liability for: (a) death or personal injury caused by our negligence; or (b) fraud or fraudulent misrepresentation.

11.4 Subject to clause 11.3, and to the extent permitted by applicable law, we will not be liable to you in connection with the Service (including your use or inability to use the Service) for: loss of profits or goodwill; any statement or conduct on or via the Service by any third party (including any other Seenit user); loss of data caused by factors other than our negligence or breach of statutory duty; the cost to you of obtaining substitutes for the Service; or any other loss or damage suffered by you in connection with the Service that is not foreseeable.

12. Indemnification

12.1 You agree to fully compensate Mydus and its affiliates from and against any and all third-party claims, liability, damages, expenses and costs (including reasonable legal fees) caused by or arising from your use of the Service, your violation of these Terms, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of anyone.

13. Termination and suspension

13.1 We will determine, in our discretion, whether there has been a breach of these Terms through your use of the Service. When such a breach has occurred, we may take any action we reasonably deem appropriate, including all or any of the following:

• immediate, temporary, or permanent withdrawal of your right to use the Service;
• issue of a warning to you;
• removal of content from the Service;
• legal proceedings against you for reimbursement of all costs (including reasonable administrative and legal costs) resulting from the breach;
• further legal action against you; and/or
• disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

13.2 The responses described above are not limited and we may take any other action we reasonably deem appropriate.

14. General provisions and governing law

14.1 You may not assign, sub-licence, or otherwise transfer any of your rights or obligations under these Terms to any third party. You acknowledge that we may assign, sub-licence, or otherwise transfer any of our rights or obligations under these Terms to any third party at any time.

14.2 We will have no liability to you for any failure or delay in performing any of our obligations under these Terms to the extent that such failure or delay is caused by you or by an event or circumstance beyond our reasonable control.

14.3 These Terms (together with our Privacy Policy) contain the entire agreement and understanding between you and us relating to their subject matter and supersede all prior agreements, understandings, or arrangements (oral or written) relating to the same.

14.4 If any provision of these Terms is found to be invalid for any reason, the invalidity of that provision will not affect the remaining provisions, which will remain in full force and effect.

14.5 Failure by either you or us to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.

14.6 These Terms are governed by English law. If you are a consumer, the courts of England and Wales will have non-exclusive jurisdiction over any claim arising from or related to these Terms (unless you are a resident of Scotland or Northern Ireland, in which case you may bring proceedings in your local courts).

15. Cancelling your account

15.1 You may cancel your account at any time from the Profile → Delete account option within the Seenit app. Deleting your account removes your profile, your follow relationships, your logs, your notifications, and your stored avatar image, as further described in our Privacy Policy.

15.2 You may also cancel your account by emailing help@mydus.co.uk from the email address associated with your Seenit account.
